Effective Date: 11 May 2025
1. Definitions
“Carrier” means Teryx Ltd (trading as TRX Couriers), including any director, employee, subcontractor, or agent.
“Customer” means the person or business contracting the Carrier for delivery services.
“Consignee” means the intended recipient of the goods.
“Consignment” means goods contained in one parcel, package, or load sent from one address to another at one time.
2. General Conditions
The Carrier is not a common carrier and reserves the right to refuse any Consignment. All services are provided under these Terms. No agent may alter them without written consent from a Director.
3. Authority & Subcontracting
The Customer warrants they are the owner or authorised to act on behalf of the owner.
The Carrier may subcontract services but remains responsible. Subcontractor details are available upon request.
4. Dangerous Goods
Dangerous or hazardous goods must be disclosed by the Customer and comply with applicable transport regulations. The Carrier reserves the right to refuse them.
5. Delivery Requirements
Unless agreed in writing, the Carrier is not required to provide equipment beyond standard vehicle capacity.
The Customer must provide any necessary equipment and shall indemnify the Carrier for related damages or delays.
6. Consignment Notes
Consignment notes signed by the Carrier acknowledge receipt only — not the condition, content, or value of the goods.
7. Transit Terms
Transit begins when the Carrier takes possession of the Consignment.
Transit ends:
– Upon delivery at the Consignee’s address, where safe access is available
– One hour after failed delivery if access is not possible
– After a reasonable time if no further instructions are received
8. Undelivered or Unclaimed Goods
If a Consignment cannot be delivered, the Carrier may sell the goods after giving reasonable notice to recover charges.
This does not apply if Customer or Consignee contact information is available and they fail to respond within a reasonable time.
9. Charges & Payment Terms
Charges are based on the Carrier’s current rates. Invoices are issued after job completion unless otherwise agreed.
Standard business hours: Monday–Friday, 7:30am–6:00pm. Surcharges apply outside these hours.
The Customer is liable for all charges, regardless of arrangements with third parties.
Payment is due within 14 days. Late payments accrue daily interest. Invoices are binding unless disputed within 7 days.
Debt recovery costs will be added if enforcement is necessary.
Quotes are based on gross weight unless otherwise stated. Prices exclude VAT unless specified.
The Customer must not withhold payment due to unrelated claims.
Waiting Time Charges
First 30 minutes included. Charges apply thereafter:
Small/SWB/MWB/LWB Vans: £15 per hour
XLWB/Luton Van: £20 per hour
Cancellation Fees
100% cancellation fee applies if the job is cancelled after the driver has been dispatched.
Late Amendment Fees
Additional charges may apply if changes are made to the mileage, destination, or job timing after dispatch.
10. Liability for Loss or Damage
The Carrier is not liable for loss or damage unless agreed in writing prior to transit.
No liability is accepted for fragile, valuable, perishable, or improperly packaged items.
The Carrier is not liable for:
– Force Majeure events
– Seizures or strikes
– Mislabeling, improper packaging, or Consignee refusal
– Any delay beyond the Carrier’s control
Liability ends when transit ends under Clause 7.
11. Fraud
The Carrier is not liable where the Customer or owner has committed fraud relating to the Consignment.
12. Limits of Liability & Claims
Liability is limited unless extra coverage is arranged and confirmed in writing.
Partial loss is compensated proportionally.
No compensation is provided for indirect or economic losses.
Claims must include proof and allow inspection.
Liability only applies within Great Britain unless otherwise agreed.
13. Claims Time Limits
No claim will be accepted unless:
– Initial written notice of loss is received promptly
– Full claim with evidence is submitted within the defined period from the start of transit
14. Indemnity
The Customer agrees to indemnify the Carrier for claims or costs arising from:
– Misrepresentation or improper packing
– Dangerous or undeclared goods
– Exceeding liability limits
– Customs charges or legal liabilities
15. Lien
The Carrier holds a lien over goods for unpaid charges. Goods may be sold after reasonable notice to recover the outstanding balance.
16. Unreasonable Detention
The Customer is liable for any cost caused by delays in unloading or return of equipment.
17. Impossibility of Performance
The Carrier is not liable for service failures due to events beyond its control, including fire, flood, strike, breakdowns, or Customer breach.
18. Time Calculations
For notice periods of 7 days or less, Saturdays, Sundays, and public holidays are excluded.
19. Governing Law
These Terms are governed by the laws of England. All disputes are subject to the exclusive jurisdiction of the English courts.
20. Prohibited and Restricted Items
The Carrier will not carry the following items under any circumstances:
Firearms, ammunition, explosives, or weapons
Illegal substances or items
Cash, banknotes, coins, or traveller’s cheques
Perishable goods requiring temperature control
Animals or live organisms
Items deemed hazardous or restricted under UK transport laws without prior written consent
The Carrier reserves the right to refuse any item at its sole discretion. If prohibited items are sent without disclosure, the Customer assumes all liability for any loss, damage, legal action, or delay caused as a result.
